Chronos Timekeeping — Disclaimer

This Disclaimer is incorporated into and forms part of the Chronos Timekeeping Terms of Service & End User License Agreement (the "Agreement"). Capitalized terms have the meanings given in the Agreement. If there is any conflict, the Agreement controls.

1. "AS IS" — No Warranties

THE CHRONOS SOFTWARE, WEBSITE, AND SERVICE (TOGETHER, THE "SERVICE") ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROVIDER DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON- INFRINGEMENT, AND ACCURACY. PROVIDER DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

2. No Guarantee of Accuracy of Time or Billing Data

Chronos estimates how time is spent by detecting active windows and enumerating open file handles and paths, and by classifying that activity into projects. These methods are inherently imperfect. Detection can be wrong, incomplete, delayed, or misclassified, and results vary by operating system, configuration, third-party tools, file types, and environment.

Any stated accuracy figures — including "95%+ accuracy" or similar — are general engineering estimates measured under specific test conditions, not promises, warranties, or guarantees of the results you will obtain.

YOU ARE SOLELY RESPONSIBLE FOR INDEPENDENTLY REVIEWING, CORRECTING, AND VERIFYING ALL TIME ENTRIES, DURATIONS, PROJECT ASSIGNMENTS, AND REPORTS BEFORE USING THEM FOR ANY PURPOSE, INCLUDING CLIENT BILLING, INVOICING, PAYROLL, TAX FILINGS, FEE PETITIONS, COURT OR INSURANCE SUBMISSIONS, OR ANY OTHER RELIANCE. Provider is not responsible for any over-billing, under-billing, lost time, miscategorized time, rejected invoices, sanctions, or other consequences arising from reliance on Chronos data.

3. Not Professional, Legal, Tax, Accounting, or Billing Advice

Chronos is a software tool, not a professional service. Nothing it produces constitutes legal, accounting, tax, billing-compliance, or other professional advice, and no professional relationship is created by your use of it. AI-generated outputs — including the conversion of AI activity into "human-equivalent" or "contributing" hours — are automated estimates and may be inaccurate. Consult a qualified professional before relying on any output for regulated, billable, or legally significant purposes.

4. Your Compliance and Consent Obligations

If you use Chronos to observe, record, or classify the activity or files of anyone other than yourself, you alone are responsible for obtaining all legally required consents and notices and for complying with all applicable monitoring, wiretap, electronic-surveillance, employment, and privacy laws (see Section 6 of the Agreement). Provider gives no assurance that any particular deployment is lawful and assumes no responsibility for your monitoring activities.

5. Beta, Preview, and Experimental Features

Features identified as beta, preview, experimental, or "coming soon" are provided for evaluation only, may be unstable or change or be removed at any time, and carry no warranty or support commitment. Do not rely on them for production use.

6. Third-Party Tools, Links, and Components

The Service may use, invoke, or link to third-party software, websites, APIs, or components (for example, Microsoft Sysinternals handle.exe, operating-system facilities, payment processing by Stripe, and open-source libraries). Provider does not control and is not responsible for third-party products, content, availability, accuracy, or practices, and their use is governed by their own terms and policies.

7. Data Loss

Although Chronos stores Time Data locally with encryption, no software is immune to data loss, corruption, or breach. You are responsible for maintaining your own backups. To the maximum extent permitted by law, Provider is not liable for any loss of, or inability to access, Time Data or other content.

8. Assumption of Risk and Limitation of Liability

You assume all risk arising from your use of the Service. Provider's liability is limited and certain damages are excluded as set out in Section 13 of the Agreement, which is incorporated here by reference. Some jurisdictions do not allow certain exclusions or limitations, so parts of this Disclaimer may not apply to you; in that case, the relevant provisions apply to the maximum extent permitted by law.
